WIPforge Founding Member Terms

These WIPforge Founding Member Terms (the “Founding Member Terms”) supplement and are incorporated into the WIPforge Terms of Service (the “Terms”). Capitalized terms not defined here have the meanings given in the Terms. If these Founding Member Terms conflict with the Terms, these Founding Member Terms control solely with respect to a Founding Member subscription. The offer is available only to business customers in the United States that are eligible to use the Services under the Terms.

Effective date: October 25, 2026

1. The offer

The Founding Member program is a limited promotional offer for the first 50 Customers whose Founding Member orders are accepted by WIPforge and whose initial annual subscription payments are successfully completed. If a small number of Customers complete purchases nearly simultaneously with the fiftieth completed and accepted purchase, WIPforge may, in its discretion, accept those additional orders without creating any obligation to accept other orders or expand the program. Unless WIPforge approves otherwise in writing, each Customer may hold only one Founding Member slot. The Founding Member price is $1,788 per year (equivalent to $149/month, billed annually), plus applicable taxes, and includes the Professional feature set available for the Services.

2. Price lock ("grandfathering")

Your Founding Member price will not increase for the Professional feature set included with your Founding Member subscription for so long as your subscription remains continuously active, your payment method remains valid, and you remain in good standing under the Terms. The price lock does not apply to taxes, optional add-ons, usage-based charges, new products or services, additional companies or users outside the Professional feature set, or third-party charges. Continuity works as follows:

(a) Failed renewal payments. A failed renewal payment does not immediately end your price lock. You have a 30-day cure period from the failed charge, during which your access continues, WIPforge may retry payment, and WIPforge will notify you of the failed payment. If payment succeeds within the cure period, continuity is preserved.

(b) Loss of the price lock. Your Founding Member pricing ends permanently if: the cure period lapses without payment; you cancel your subscription; you receive a refund under the Guarantee (Section 3); WIPforge terminates your subscription for material breach, unlawful use, or risk to the Services under the Terms; or your initial or renewal payment is reversed, charged back, returned (including by ACH return), or otherwise not actually received by WIPforge. You are welcome to subscribe again at the then-current list price.

(c) No pause or transfer. Subscriptions cannot be paused or transferred to another Customer, account, legal entity, or product plan while retaining the price lock, except with WIPforge’s prior written consent or in connection with an assignment permitted under the Terms.

(d) Annual auto-renewal. Founding Member subscriptions renew automatically for successive one-year terms at the then-current Founding Member price of $1,788 per year for Founding Members in good standing, plus applicable taxes, until cancelled. WIPforge will charge your payment method at each renewal and will send an annual renewal reminder approximately 30 days before renewal. You may cancel through the billing portal before renewal; cancellation takes effect at the end of the then-current paid term. Renewal charges after the Guarantee period are non-refundable except as expressly stated in the Terms or required by law.

3. The Founding Member Guarantee

If you are not satisfied for any reason, you may request the Founding Member Guarantee by contacting WIPforge within 60 days after your initial Founding Member purchase and identifying the account and subscription to be refunded. If WIPforge receives a timely request, WIPforge will refund the initial annual subscription fee actually paid and settled for the Founding Member subscription to the original payment method, except to the extent another method is reasonably required by the payment processor or applicable law. Refund timing depends on the payment method and processor; ACH refunds typically take 5–10 business days after processing.

The Guarantee applies only to the initial purchase of a Founding Member subscription and does not apply to renewals, standard monthly or annual plans, optional add-ons, third-party charges, or taxes except to the extent required by law. A refund ends your subscription, your Founding Member status, and your price lock, and releases your slot. WIPforge may delay or deny a refund to the extent the relevant payment is pending, returned, reversed, charged back, subject to an ACH return, or not actually received by WIPforge. If a payment is disputed, charged back, reversed, returned (including by ACH return), or not actually received, WIPforge may treat the payment as not completed, may release the slot, and will not be required to provide a duplicate refund. You remain responsible for any chargeback, ACH-return, failed-payment, or similar bank, network, or processor fees to the extent permitted by law. This Guarantee is the only refund right for Founding Member subscriptions except as required by law.

4. Slots, trials, and availability

Founding Member status is secured only upon completed payment and WIPforge’s acceptance and confirmation of a Founding Member slot. Starting a free trial, joining a waitlist, beginning checkout, receiving a pending authorization, or placing a failed or abandoned order does not reserve a slot; the offer may sell out while you are trialing or before payment is completed. Once the first 50 Customers’ Founding Member orders have been accepted and their initial annual subscription payments successfully completed, WIPforge may close the offer, subject to WIPforge’s discretion under Section 1 for a small number of nearly simultaneous completed purchases. If a slot is released by refund, cancellation, payment reversal, chargeback, ACH return, uncured payment failure, or other loss of Founding Member status while the offer remains open, WIPforge may make that slot available again. The count of available slots shown on WIPforge’s website is updated on a reasonable schedule, may be approximate, and is not a real-time commitment or reservation.

5. Feedback expectations

Founding Members get direct access to the founder and early input on the roadmap. We ask (but do not contractually require) that you share feedback and participate in occasional short check-ins. Consistent with the Terms, WIPforge may use feedback and suggestions to improve the Services without restriction or compensation. WIPforge will not use your name, logo, attributable quote, testimonial, or case study in marketing materials without your separate written consent.

6. General

Except as expressly modified by these Founding Member Terms, Founding Member subscriptions are governed by the Terms, including the Terms’ provisions on assignment to a successor entity, data terms, disclaimers, limitation of liability, termination, governing law, notices, amendments, and general provisions. WIPforge may correct clerical, typographical, pricing-display, availability, checkout, or technical errors in the offer's presentation and may reject, cancel, or refund orders affected by fraud, abuse, ineligibility, payment failure, oversubscription, or obvious error. WIPforge may modify or withdraw the offer prospectively for customers who have not completed payment and whose orders have not been accepted. Once WIPforge accepts a Founding Member order and successfully receives payment, WIPforge will not alter that Customer’s $1,788 annual price lock or 60-day Guarantee except as permitted by these Founding Member Terms or required by law.
